China Stock Exchange ESG Disclosure Rules

ENFORCEMENT TIMELINE

Effective May 1, 2024

Enforcement: Effective May 1, 2024

Overview

China's Stock Exchange ESG Disclosure Rules are a sustainability information disclosure regime established by the Shanghai, Shenzhen, and Beijing stock exchanges for listed companies. In 2024, all three exchanges jointly issued and implemented "Guidelines for Sustainability Reports of Listed Companies," establishing a full-fledged ESG disclosure system covering large listed companies and major index constituents (approximately 457 companies, covering roughly two-thirds of the country's total emissions). Operating in coordination with the CSDS Basic Standard, the system aims to improve the transparency of ESG information in capital markets and protect investors. The deadline for the first reports, covering fiscal year 2025, is the end of April 2026. Its objectives are to improve the transparency of listed companies' ESG information, provide investors with comparable information, strengthen the soundness and credibility of capital markets, promote sustainable investment, and ensure alignment between China's disclosure regime and international standards. It applies to listed companies on all three exchanges (all three exchanges have already issued and implemented the rules), with companies of larger market capitalization and major index constituents subject to higher disclosure standards. Disclosure covers governance (ESG promotion structure, board oversight, internal controls), environmental factors (greenhouse gas emissions, energy use, water resource management, waste management, pollution prevention, and climate change response), social factors (labor safety, talent development, supply chain management, and human rights considerations), and governance factors (compliance, risk management, information management, and anti-corruption).

Business Impact

- Building ESG data collection systems.

- Integrated management of financial and non-financial information.

- Preparing sustainability reports (the fiscal year 2025 report is due by the end of April 2026).

- Strengthening communication with investors.

- Collecting ESG data from the supply chain. Japanese companies with listed subsidiaries in China, or that raise capital in the Chinese market, may also need to comply with this regime in some cases. The rules operate in coordination with the CSDS Basic Standard, the climate-related disclosure standard, and the corporate environmental information disclosure regime, and alignment with environmental data obtained from sources such as the China ETS and the carbon emissions reporting system is important.
